TERMS OF USE
Vehicle Records Platform

1. Introduction

These Terms of Use constitute a legally binding agreement between you and Afripoint Consult Ltd
(“Company”, “we”, “us”, or “our”), the owner and operator of the Vehicle Records platform
(“Platform”).

By accessing or using the Platform in any manner, you acknowledge that you have read,
understood, and agree to be bound by these Terms. Where you are acting on behalf of a business
or entity, you represent that you have the authority to bind that entity to these Terms.

2. Definitions and Interpretation

“Platform” means the Vehicle Records system, including its web interface, APIs, databases, and
related infrastructure. “Services” refers to VIN Duty Verification, Vehicle History Reports, and
Vehicle Valuation services. “User” includes individual users, auto dealers, and enterprise users.
“Enterprise User” refers to any organization integrating the Platform through APIs. “Wallet” refers
to the prepaid balance used to access Services.

3. Platform Ownership

The Vehicle Records platform is a proprietary product developed, owned, and operated by
Afripoint Consult Ltd. All rights, title, and interest in and to the Platform remain vested in the
Company.

3. Scope of Services

The Platform provides vehicle intelligence services by aggregating and processing data obtained
from internal verification systems and third-party data providers. Outputs generated by the
Platform are structured reports intended to assist users in making informed decisions relating to
vehicles.

The Platform may be modified, updated, or discontinued at any time without prior notice.

4. User Accounts and Access

Access to the Platform may occur either through registered user accounts or through guest
access, depending on the nature of the service being utilized.

Registered Users are required to create an account by providing accurate and complete
information, including identification and contact details. Registered Users are responsible for
maintaining the confidentiality of their login credentials and for all activities conducted under

their accounts. Afripoint Consult Ltd shall not be liable for any loss or damage arising from
unauthorized use of an account resulting from a failure to safeguard credentials.

Guest Users may access certain services on the Platform without creating a formal account.
However, such users are required to provide minimum identification and contact information,
including a valid email address and phone number, prior to completing any transaction or
accessing paid services. This information is collected for purposes including transaction
verification, service delivery, usage tracking, customer support, fraud prevention, and resolution
of disputes.

Guest Users operate strictly on a pay-per-usage model. Access to reports or services shall only be
granted upon successful completion of payment through the designated payment channels.
Guest Users acknowledge that, despite the absence of a registered account, their use of the
Platform constitutes acceptance of these Terms of Use.

Afripoint Consult Ltd reserves the right to impose restrictions on guest access, including
limitations on the number of transactions, access to certain features, or conversion requirements
into a registered account where usage thresholds are exceeded or where necessary for security,
compliance, or operational reasons.

All users, whether registered or guest users, are required to ensure that the information they
provide is accurate and up to date. The Company reserves the right to suspend or refuse access
to any user where false, misleading, or incomplete information is provided, or where such use
poses a risk to the integrity, security, or lawful operation of the Platform.

5. Enterprise and API Use

Enterprise Users are granted a limited, revocable, non-exclusive, non-transferable license to
integrate the Platform through authorized APIs.

API access is subject to issuance of credentials, including sandbox and production keys. Enterprise
Users must ensure secure storage of API keys and shall be fully responsible for all usage associated
with such credentials.

Any misuse, excessive requests beyond agreed thresholds, reverse engineering, or unauthorized
data extraction shall constitute a material breach.

Afripoint Consult Ltd reserves the right to implement rate limits, usage caps, and technical
restrictions to protect system integrity.


6. Payments and Commercial Terms

Access to Services is subject to payment. Individual users shall operate on a pay-per-report basis,
while auto dealers and enterprise users shall operate through a prepaid wallet or agreed
subscription model.

Payments are processed through third-party providers. The Company does not store card details
and is not responsible for payment gateway failures beyond its control.

All fees paid are final and non-refundable except where expressly required by applicable law or
approved at the sole discretion of the Company.

7. User Responsibilities

Users are solely responsible for ensuring the accuracy of any VIN or data submitted. The Platform
must not be used for unlawful, fraudulent, or abusive purposes.

Users shall not copy, distribute, resell, sublicense, or commercially exploit any report or data
obtained from the Platform without prior written authorization.

8. Intellectual Property

All intellectual property rights in the Platform, including all software, databases, reports, and
content, remain the exclusive property of Vehicle Records or its licensors.

No rights are granted to users except for a limited right to access and use the Platform strictly in
accordance with these Terms.

9. Data Accuracy and Disclaimer

The Platform aggregates data from multiple independent sources. While reasonable efforts are
made to ensure accuracy, Afripoint Consult Ltd does not warrant that any report is complete,
accurate, or up to date.

All outputs are provided for informational purposes only and do not constitute legal, financial, or
technical advice. Users are expected to independently verify critical information before relying on
it.

10. Limitation of Liability

To the fullest extent permitted by law, Afripoint Consult Ltd shall not be liable for any indirect,
incidental, consequential, or special damages, including loss of profits, business interruption, or
reputational damage arising from use of the Platform.

Where liability cannot be excluded, the total liability of Vehicle Records shall not exceed the total
amount paid by the user for the specific service giving rise to the claim within the preceding thirty
days.

11. Indemnity

You agree to indemnify and hold harmless Afripoint Consult Ltd, its directors, employees, and
partners from any claims, liabilities, damages, or expenses arising out of your use of the Platform,
your breach of these Terms, or your reliance on Platform outputs.

12. Data Protection and Privacy

Your personal data shall be processed in accordance with the Privacy Policy. By using the Platform,
you consent to such processing.

13. Termination

Afripoint Consult Ltd may terminate or suspend access at any time where necessary to protect its
systems, comply with legal obligations, or enforce these Terms.

14. Dispute Resolution

These Terms shall be governed by the laws of the Federal Republic of Nigeria. Any dispute arising
shall first be resolved through good faith negotiations, failing which it shall be referred to
arbitration in Lagos under applicable arbitration rules.

15. Amendments

Afripoint Consult Ltd reserves the right to amend these Terms at any time. Continued use of the
Platform constitutes acceptance of such amendments.
